These Terms of Service ("Terms") constitute a legally binding agreement between you and Nexys ("we," "us," or "our") governing your access to and use of our website at Nexys.gg, products, and services. By accessing our services, creating an account, or making a purchase, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

You must be at least 18 years of age to use our services. By using our services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are under 18, you may not use our services under any circumstances.

If you do not agree to these Terms in their entirety, you must immediately cease using our services and platform.

Nexys operates as an online marketplace and reseller of digital products. All products are sourced from authorized distributors and partners. We provide these services to registered users through our platform, which is powered by SellAuth, subject to availability and these Terms. Our catalog includes but is not limited to:

• Third-party software license keys
• Digital game keys and gaming products
• Software tools and applications
• Digital content and media
• Social media & streaming accounts
• Digital services and more

All digital products sold by Nexys are third-party products. Nexys acts solely as a reseller and is not the original developer, manufacturer, or licensor of these products. All trademarks, product names, and logos belong to their respective owners. Nexys makes no claim of ownership over any third-party product sold on this platform.

Product availability, pricing, and descriptions are subject to change without notice. We reserve the right to discontinue any product or service at any time.

By using our services, you agree & understand the following responsibilities:

• Provide accurate and complete information during registration
• Maintain the security of your delivery credentials
• Use purchased products in accordance with their respective license agreements
• Product replacements are only provided if we are able to & our provider agrees.
• Comply with all applicable laws and regulations in your jurisdiction
• Treat other community members with respect and kindness. Do not spam mention any staff member, otherwise you'll get timeouted for up to 7 days.
• Agreeing that warranties, product-related information can change anytime
• Contact us within 3 days after ordering if your order is manually claimed via Discord
• Abuse of payment systems, including initiating unjustified chargebacks or payment disputes without attempting resolution through support, is strictly prohibited and may result in account termination and platform restriction.
• Understand that if no warranty details are specified, no warranty applies
• You agree that "not full access" services (e.g. Netflix, Disney, ...) are mostly shared services. Warranty does not cover "watched movies", "x is currently watching a movie", "video edit got deleted", and similar
• If any account details get changed after delivery. Warranty is automatically voided.
• When participating in giveaways & requirements are set. You must complete them before the giveaway ends.
• Understand that using some accounts/services come with a risk of being revoked which we don't control. If the platform revokes the account/service access, a replacement may be available depending on warranty & more details.
• Sending payment as Friends & Family when paying via PayPal. By choosing PayPal Friends & Family as your payment method, you acknowledge that this method does not include PayPal buyer protection, and you waive any right to open a PayPal dispute or claim for that transaction. If payment was not made via Friends & Family, an un-appealable blacklist will be applied to your account with no chance of a refund, as this constitutes a violation of our payment terms.
• We may not always offer instant delivery or permanent access as advertised. Products may run out of stock, become unavailable, have access revoked, or the underlying subscription/service may expire or be terminated. If this occurs, please contact us for further details. Any reference to "lifetime access" means access for as long as the service remains available and supported, and does not guarantee access indefinitely or forever.
• You are solely responsible for ensuring that the product you are purchasing is compatible with your system, region, and intended use. Nexys is not responsible for purchases made in error by the user.
• You agree that any account or credentials delivered to you are for your personal use only and must not be shared with any other person.

The following activities are strictly prohibited and may result in immediate account termination:

• Attempting to reverse engineer, modify, or tamper with our products
• Engaging in fraudulent activities or payment disputes
• Harassment, discrimination, or toxic behavior toward other users or staff
• Sharing private information of other community members
• Posting inappropriate or NSFW content
• Unauthorized advertising or promotional activities
• Attempting to exploit, bypass, or abuse any part of our platform, ordering system, or delivery mechanisms
• Creating multiple accounts to circumvent bans, blacklists, or restrictions
• Providing false information or impersonating another person during the purchase or support process
• Using automated tools, bots, or scripts to interact with our platform without prior written consent from Nexys

All intellectual property rights in our platform, content, and proprietary tools remain exclusively with Nexys. Users are prohibited from attempting to decompile, reverse engineer, modify, or create derivative works of our software or systems. Any unauthorized access attempts or tampering with our products will result in immediate service termination and may be subject to legal action.

The Nexys name, logo, and all related branding materials are the exclusive property of Nexys. You may not use, reproduce, or imitate our branding in any manner without prior written consent.

All third-party trademarks, product names, and logos referenced on our platform belong to their respective owners. Their appearance on our platform does not imply any affiliation with or endorsement by Nexys.

Our services and products are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Nexys does not warrant that our services will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any information provided on our platform.

As a reseller of third-party digital products, Nexys makes no representations or warranties with respect to the third-party products themselves beyond what is explicitly stated in our product listings. Any warranties on third-party products are subject to the original developer's or licensor's terms.

To the maximum extent permitted by applicable law, Nexys shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to loss of profits, loss of data, loss of goodwill, or service interruption.

Our total aggregate liability for any and all claims arising from or related to your use of our services shall not exceed the total amount paid by you for the specific product or service giving rise to the claim in the 30 days immediately preceding the event giving rise to the claim.

Nexys shall not be liable for any damages or losses arising from third-party platform actions, including but not limited to account terminations, service revocations, or licensing changes made by the original developers or platforms of the products we resell.

We reserve the right to modify these Terms at any time at our sole discretion. Changes will be effective immediately upon posting to our website at Nexys.gg. We will update the "Last reviewed" date at the bottom of this page to reflect when changes were made. Continued use of our services after any such changes constitutes your acceptance of the new Terms. We recommend reviewing these Terms periodically to stay informed of any updates. It is your responsibility to check for updates; we are not obligated to individually notify users of changes.

We may suspend, restrict, or permanently terminate your account and access to our services immediately, without prior notice or liability, for any violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use our services will cease immediately, and any purchased products or access credentials may become inaccessible.

Nexys reserves the right to enforce account restrictions, including blacklisting, at its sole discretion. For security, fraud prevention, and operational integrity reasons, we are not obligated to disclose specific details, evidence, or internal reasoning behind any enforcement action.

Termination of your account does not entitle you to any refund except where otherwise required by applicable law or explicitly permitted under our Refund Policy. All provisions of these Terms that by their nature should survive termination shall remain in effect, including ownership provisions, warranty disclaimers, limitations of liability, and dispute resolution provisions.

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of our services, you agree to first attempt to resolve the matter informally by contacting Nexys through our official support channels at contact@Nexys.gg or via our Discord server.

You agree that any formal dispute resolution proceedings must be initiated within 30 days of the event giving rise to the dispute. Disputes not raised within this period are deemed permanently waived and barred.

You agree not to initiate any class action, collective action, or representative action against Nexys. All disputes shall be resolved on an individual basis only.

Any attempt to initiate or threaten a payment dispute or chargeback in bad faith, or without valid grounds under this policy, may result in immediate suspension or permanent restriction of the account and associated services.

Nexys shall not be liable for any failure or delay in performance of our obligations under these Terms arising from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, internet outages, cyberattacks, third-party platform outages (including SellAuth or Discord), power failures, or any other event beyond our reasonable control.

In the event of a force majeure situation, we will make reasonable efforts to notify affected users and resume normal operations as quickly as practicable.

These Terms shall be governed by and construed in accordance with applicable law. If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall remain in full force and effect.

The failure of Nexys to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision unless acknowledged and agreed to in writing by Nexys.
